In early 1996, the Company's Chairman, CEO, and principal shareholder believed it was a good time for the Company to sell due to a high level of industry consolidation activity. Croft & Bender advised the Company through a complete exclusive sale process, which included valuing the Company, identifying potential acquirers, drafting the offering memorandum, marketing the Company, and negotiating the transaction.
Result
A sale to Pelican Companies, Inc., a Carolina-based consolidator, was successfully completed in the Fall of 1996. Croft & Bender assisted in the negotiations and provided the fairness opinion.
