Builderway, based in Greenville, SC, owned and operated a chain of building materials dealers in the Carolinas and Georgia. The business was focused on the residential contractor sector of the market.
In early 1996, the Company’s Chairman, CEO, and principal shareholder believed it was a good time for the Company to sell due to a high level of industry consolidation activity. Croft & Bender advised the Company through a complete exclusive sale process, which included valuing the Company, identifying potential acquirers, drafting the offering memorandum, marketing the Company, and negotiating the transaction.
A sale to Pelican Companies, Inc., a Carolina-based consolidator, was successfully completed in the Fall of 1996. Croft & Bender assisted in the negotiations and provided the fairness opinion.
